Definitions
The bold terms you are reading here have only the meaning that the Terms and Conditions of the company say. And everything other than these words will follow the English Dictionary.

- “Agreement” means either these Terms and Conditions or any other signed proposal, contract, or Statement of Work to which both parties agree.
- ‘Statement of Work’ is an elaborate document describing everything about the project, services, tools, etc.
By the word “Tools” we refer to every software and tool that the developers, analysts, engineers, and other team members use to create the solutions.
Use of Website
You are agreeing to the following by using our website:
- You must use the website for a legitimate aim only.
- You will not try to access any part of the website or its systems illegally.

Services
- Scope of Services : A statement of work is prepared for all the services provided by our company before actually starting work on the project, which contains a detailed description of the terms and other details of the project in written form. If any party feels the need for any modifications, they must suggest or request them in writing. The changes to the scope might need additional fees and an updated schedule.
- Service Delivery : Our company is answerable to delivery-related queries. We hereby promise to deliver all the services with professional care and expertise. However, we do not promise anything specific about the outcomes as they might vary depending on the quality of data, prior systems, chosen solutions, tools used, and other details provided by the receiver.
- Client Responsibilities : Clients are individually responsible for giving the information in a timely manner that should be accurate and complete. Providing access to systems and feedback is also the responsibility of clients to receive an impactful and efficient deliverable. If any client delays in fulfilling their responsibility, they must be fine with revised delivery dates.
- Fixed Price : We offer some services that say Fixed Price, but the ‘Fixed Price’ does not include overhead expenses and the other additional service costs (if any) incurred by the company to design and construct the deliverables. The Clients are required to acquire those additional monetary charges.
- Services Not Covered by Statement of Work : In any case where the company carries out a service or more than one service for the Client which is not outlined in the Statement of Work, the company can charge the Client with additional fees for such Services (only if the Client accepts those extra service(s) along with the deliverables).
Payment Terms
- Fees : Fees for every project will be drafted in the agreement named Statement of Work.
- Invoices : Invoices will be issued as mentioned in the agreement for upfront, monthly, or milestone-based payments.
- Payment Deadlines : Payment is due as agreed in writing, and if not, within 15 days after the invoice is issued.
- Late payment : If the payment is overdue, the company reserves the right to pause or discontinue the service immediately, and in case of continued non-payment, the clients could face the termination of the service
Intellectual Property
- Work Product: Only after the full payment, the client will have ownership of all codes, models, dashboards, systems, and other documentation built specifically for their project as outlined in the agreement.
- Pre-Existing Intellectual Property: Every owned intellectual property, including tools, frameworks, processes, and methods of the company, will remain under the company’s ownership even after the completion of the project.
- Website Content: The texts, graphics, logos, designs, and other content on the company’s website are the Company’s Property, which must not be used without the Company’s written permission.
Confidentiality
Herein, both parties agree to maintain the confidentiality of every sensitive and crucial business information, data, and undisclosed trade transfer during the engagement. This obligation is not just till the engagement period exists. It continues even after the completion of service. The company will share essential data with the third-party service provider without the written consent.
Data and Privacy
If you engage in any of our services, you’re stating that you have read and agreed to our Privacy Policy, which is a part of this agreement. All information collected during engagement and while visiting the company’s website is handled in accordance with our Privacy Policy.
Limitation of Liability
Subject to the limitations set herein, to the fullest extent permitted by applicable law:
- If any accidental or consequential damage occurs due to the use of our services or website, the company is not liable.
- The client will be held responsible for non-preferred results from wrong, incorrect, or incomplete information provided by the Client.
- The total liability of the company to the clients for any claim cannot exceed the amount paid by the client for their respective services.
Warranties and Disclaimers
We provide a warranty regarding the skillful and careful management and delivery of all services we provide. However:
- The Company’s website is available on an as-is basis, and we do not guarantee attainability, precision, or suitability for any specific purpose.
- The Company is not responsible for any objection to the use or engagement of any third-party tools, platforms, or services in the provision of our work.
- The Company does not promise any unified/specific business outcome through the practice of our services.
Termination
- By the Client: To terminate the engagement, the Client must provide a written notice, and full payment is required for work completed up to the termination date.
- By the Company: If the client does not adhere to or follow the Company’s Terms & Conditions and Privacy Policy, fails to make timely payments repeatedly, or acts unjustifiably and disrupts the harmony of the workplace, in such cases, the company reserves the right to terminate the engagement.
- Effect of Termination: The work done till the termination date is required to be paid off in full settlement. Only the paid deliverables will be transferred to the Client. The unpaid deliverables will remain the property of the Company.
Governing Law
The law of India governs these Terms and Conditions. If any controversy or debate arises due to the terms of our services, it will be settled in the respective jurisdiction of the country.
Changes to These Terms
We hold the right to update and modify these Terms and Conditions if required at any time. You must check the effective date at the top of this page and make your decisions accordingly. If any client continues to engage with the company’s website or services, it will indicate the acceptance of the revised terms.
